Chef Services Agreement

This agreement describes the terms that apply when a chef applies to, participates in, or provides culinary services through the Chez, LLC platform.

Chez, LLC is a hospitality platform that facilitates connections, bookings, payments, communication, and certain administrative services between participating chefs and households.

The parties intend for participating chefs to operate independent culinary businesses, subject to applicable law and the actual facts and circumstances of each relationship. Nothing in this Agreement should be interpreted as a final legal determination of employment or independent-contractor status.

§ 1.1

Eligibility

To apply for or participate as a chef through Chez, LLC, an individual must satisfy the eligibility criteria established by Chez, LLC for the applicable market and service category. Eligibility requirements may include minimum age, legal authority to provide the services, identity verification, relevant culinary experience, required food-safety credentials, insurance, references, and completion of the Chez, LLC application process.

Submission of an application does not guarantee acceptance, continued access to the platform, placement with a household, or any minimum amount of work.

Chez, LLC may request information reasonably necessary to evaluate eligibility, maintain platform safety, comply with law, or administer bookings.

§ 1.2

Application Accuracy

A chef must provide accurate, complete, and current information during the application, verification, onboarding, and booking processes. A chef must not submit false credentials, altered documents, misleading experience claims, or information belonging to another person.

The chef must promptly update information that becomes inaccurate, including contact information, service area, availability, insurance, certifications, legal authority to perform services, or any material limitation affecting the chef's ability to complete a confirmed service.

Chez, LLC may pause or restrict an application or account while information is reviewed.

§ 1.3

Identity Verification

Chez, LLC may require identity verification directly or through a qualified third-party provider. The verification process may require personal information or documentation necessary to confirm identity and reduce fraud.

Verification records must be protected through access controls and must not be displayed publicly. Completion of identity verification does not constitute an endorsement, warranty, or guarantee of future conduct.

The verification process, document retention rules, and required notices follow Chez, LLC privacy standards.

§ 1.4

Background Screening

Where permitted by law, Chez, LLC may require participating chefs to authorize background screening conducted by a third-party screening provider. Screening may be required during onboarding, periodically thereafter, or when reasonably necessary for platform safety.

Chez, LLC must administer screening in accordance with applicable federal, state, and local requirements, including any required disclosures, authorizations, notices, individualized assessment procedures, or dispute rights.

A completed background screen does not guarantee that a chef is safe, qualified, suitable for every household, or free from undisclosed history.

§ 1.5

References

Chez, LLC may request professional references to evaluate experience, reliability, hospitality standards, and suitability for in-home culinary services. References must be used only for legitimate application and platform-administration purposes.

Reference contact information must remain private and accessible only to authorized personnel.

§ 1.6

Required Documentation

A chef may be required to provide and maintain documents applicable to the services offered, including food-safety certifications, business records, tax information, insurance records, licenses, permits, or other documentation required by law or Chez, LLC policy.

The chef is responsible for ensuring submitted documents are authentic, current, and complete.

Chez, LLC may pause access to new bookings when a required document expires or cannot be verified.

§ 2.1

Platform Role

Chez, LLC provides a technology-enabled hospitality platform through which households may request personal chef services and participating chefs may review and accept service opportunities.

Depending on the final operating model, Chez, LLC may also facilitate communication, payment processing, menu review, grocery estimates, support, trust and safety processes, and other administrative functions.

The final agreement must clearly state which party contracts for the underlying culinary service, which party is the merchant of record, and which party bears responsibility for service performance.

§ 2.2

Independent Business Status

The parties intend that participating chefs operate independent culinary businesses and remain responsible for the manner and means by which they perform accepted culinary services, subject to applicable law, agreed household requirements, food-safety obligations, and platform trust and safety standards.

The legal status of any relationship depends on the actual facts, applicable law, and the parties' conduct. This agreement does not override employment, labor, tax, or worker-protection laws.

§ 2.3

No Employment Promise

Participation on the Chez, LLC platform does not create a promise of employment, salary, benefits, tenure, promotion, paid leave, unemployment benefits, workers' compensation coverage, or any other employment benefit from Chez, LLC unless expressly provided by law or a separate written agreement signed by an authorized representative of Chez, LLC.

Nothing in this provision waives rights that cannot lawfully be waived.

§ 2.4

No Guaranteed Work

Chez, LLC does not guarantee that a chef will receive booking opportunities, that any opportunity will be accepted by a household, or that any minimum level of revenue, hours, bookings, or continued platform access will be available.

Booking volume may vary based on household demand, market availability, location, qualifications, pricing, culinary style, reviews, availability, safety considerations, and other legitimate operational factors.

§ 2.5

Control of Availability

Subject to confirmed bookings and applicable cancellation obligations, a chef may choose when to make services available, which opportunities to consider, and whether to accept a proposed booking.

A chef is not required to accept every opportunity and should not be penalized merely for declining an opportunity, except that repeated acceptance followed by improper cancellation may be reviewed under the cancellation and platform-conduct provisions.

§ 2.6

Outside Business Activities

Unless restricted by a separate lawful agreement, chefs remain free to provide services to other clients and through other businesses or platforms.

A chef may not misuse Chez, LLC confidential information, household information, platform data, intellectual property, or booking records in connection with outside activities.

§ 2.7

No Authority to Bind Chez, LLC

A chef may not enter into contracts, incur obligations, make warranties, issue public statements, or otherwise act on behalf of Chez, LLC unless expressly authorized in writing.

A chef must not represent that the chef is an employee, officer, legal agent, spokesperson, or corporate representative of Chez, LLC.

§ 3.2

Taxes

The chef is responsible for reporting and paying taxes associated with the chef's business and compensation, except for amounts that Chez, LLC or a payment provider is legally required to collect, report, or withhold.

Chez, LLC may request tax documentation and may issue legally required tax forms.

§ 3.3

Licenses and Permits

A chef must obtain and maintain any license, permit, registration, certification, or authorization required for the services the chef agrees to perform.

Requirements may differ by state, county, city, service model, food source, alcohol-related activity, and whether preparation occurs inside or outside the household's residence.

The platform must allow market-specific requirements rather than relying on one national rule.

§ 3.4

Insurance

Chez, LLC may require chefs to maintain insurance appropriate to the services offered, which may include commercial general liability, professional liability, product or food-related liability, automobile coverage, or other coverage determined through broker and operational review.

The chef must provide accurate proof of coverage and promptly disclose cancellation, nonrenewal, expiration, material limitation, or loss of required coverage.

Chez, LLC's review of insurance documentation does not guarantee that the policy is sufficient or that a claim will be covered.

§ 3.5

Tools and Equipment

Unless a booking states otherwise, the chef and household should confirm which tools, appliances, cookware, service pieces, storage containers, or specialty equipment will be provided.

The chef must not use household property carelessly or use an appliance the chef reasonably believes is unsafe or defective.

§ 3.6

Transportation

The chef is responsible for arranging lawful and reliable transportation necessary to complete accepted services unless Chez, LLC expressly agrees otherwise.

The chef must not operate a vehicle while impaired or use unsafe transportation practices in connection with a booking.

§ 4.1

Booking Opportunities

A booking opportunity is an invitation to review a potential service and does not become a confirmed booking until all required parties complete the applicable confirmation steps.

The platform should clearly distinguish between the following stages:

  • Opportunity
  • Chef acceptance
  • Household confirmation
  • Payment authorization
  • Confirmed booking
  • Ready for service
§ 4.2

Acceptance of Bookings

Before accepting a booking, the chef should review the available date, location, estimated duration, service type, guest count, compensation, culinary expectations, allergy information, pet or child presence, travel requirements, and any required qualifications.

A chef should accept only those services the chef reasonably expects to perform safely, lawfully, professionally, and on time.

§ 4.3

Booking Information

The chef must not use household information for purposes unrelated to the applicable booking or authorized platform activity.

Full address and sensitive access information should be disclosed only when operationally necessary and only to an assigned chef.

§ 4.4

Menu Accuracy

Menus, ingredient descriptions, dietary representations, preparation plans, and grocery estimates must be prepared honestly and with reasonable professional care.

The chef must promptly disclose substitutions, unavailable ingredients, significant pricing changes, or a newly identified conflict with a household's dietary information.

§ 4.5

Changes to Services

Material changes to the menu, guest count, service format, location, timing, grocery estimate, or scope of work should be documented through the platform and approved by the appropriate party before service whenever reasonably possible.

§ 4.6

Punctuality

The chef must make reasonable efforts to arrive at the agreed time and must communicate promptly if delay, illness, transportation problems, weather, sourcing issues, or another circumstance may affect the service.

The agreement should distinguish between minor delay, material delay, no-show, and emergency circumstances.

§ 4.7

Communication

Communications with households, Chez, LLC personnel, and other platform participants must be professional, accurate, respectful, and limited to legitimate booking or platform purposes.

A chef must not pressure a household, use abusive language, make discriminatory statements, or repeatedly contact a household after the communication is no longer reasonably related to an active service.

§ 4.8

No Unauthorized Guests or Assistants

A chef may not bring an assistant, guest, family member, child, employee, subcontractor, photographer, or other person into a household without prior authorization through the applicable booking process.

Any approved assistant may be required to satisfy separate eligibility, screening, insurance, confidentiality, and safety requirements.

§ 4.9

Service Completion

At the conclusion of a service, the chef should complete required platform steps, including applicable status updates, expense submission, receipt upload, leftover instructions, incident reporting, and confirmation that the service area has been reasonably restored.

§ 5.1

Food-Safety Certifications

A chef must maintain food-safety credentials required by law or Chez, LLC policy for the applicable service market.

The chef must promptly provide updated documentation and must not perform services requiring an expired or missing certification.

§ 5.2

Professional Food-Safety Practices

The chef must use reasonable professional food-safety practices appropriate to the service, including safe receiving, storage, handling, preparation, cooking, cooling, reheating, labeling, and disposal practices.

The chef must not knowingly serve food believed to be unsafe, contaminated, improperly stored, spoiled, or prepared using unsafe equipment.

§ 5.3

Allergy Information

Before service, the chef must review allergy and dietary information made available through the booking.

The chef must promptly seek clarification when information is incomplete, inconsistent, or beyond the chef's training or ability to accommodate safely.

§ 5.4

No Allergen-Free Guarantee

Neither Chez, LLC nor a participating chef can guarantee an allergen-free environment because the service occurs in household kitchens and may involve shared appliances, surfaces, tools, storage, ingredients, and prior contamination.

The chef must not promise that a meal or environment is completely free from an allergen unless the statement is factually supportable and legally appropriate.

§ 5.5

Cross-Contact

When an allergy is disclosed, the chef should identify foreseeable cross-contact concerns and communicate material limitations before service.

The chef may decline or discontinue a service when the chef reasonably determines that the requested accommodation cannot be performed safely.

§ 5.6

Dietary and Wellness Requests

Chefs may follow culinary preferences and general wellness requests within their experience and qualifications.

A chef must not diagnose, treat, cure, or claim to manage a medical condition unless separately qualified and legally authorized to do so.

Chez, LLC does not provide medical or dietetic advice through the platform.

§ 5.7

Ingredient Sourcing

The chef must use ingredients that are lawful, reasonably fresh, properly stored, and suitable for the agreed service.

The chef should preserve receipts and relevant product information when required by the booking, expense policy, or incident investigation.

§ 5.8

Kitchen Sanitation

The chef must use reasonable sanitation practices during service and should leave the used kitchen and food-preparation areas in the condition required by the agreed service scope.

The chef is not responsible for preexisting household conditions that were not caused by the chef, but should document material unsafe or unsanitary conditions when appropriate.

§ 5.9

Food Storage and Leftovers

The chef should provide reasonable storage, labeling, reheating, and consumption guidance for food left with a household.

Chez, LLC and the chef cannot control how food is stored, handled, reheated, transported, or consumed after the chef's departure.

§ 6.1

Property Access

A chef may enter only the property and areas reasonably necessary to perform the confirmed service.

The chef must follow authorized entry instructions and must not enter bedrooms, offices, storage areas, or other restricted spaces unless necessary for the service and expressly permitted.

§ 6.2

Household Absence

A chef may work in a residence while the household is absent only when the booking expressly permits unattended access and the required entry, privacy, safety, and security conditions have been satisfied.

The final policy must define whether unattended access will be permitted and under what conditions.

§ 6.3

Keys, Codes, and Access Credentials

Keys, alarm codes, gate codes, concierge instructions, lockbox information, and other access credentials are confidential and may be used only for the authorized service.

The chef must not copy, retain, share, photograph, or reuse access information except as expressly authorized.

§ 6.4

Household Privacy

A chef may learn private information about a household, residence, family, guests, routines, property, preferences, security arrangements, or personal circumstances.

Such information must be treated as confidential and must not be disclosed, photographed, recorded, posted, sold, or used for personal or commercial advantage.

§ 6.5

Confidentiality

Confidential information may include household identity, address, contact information, access details, booking history, menus, dietary information, health-related information, financial information, private conversations, photographs, and information designated as confidential by Chez, LLC.

Confidentiality obligations should survive completion of a booking and removal from the platform.

§ 6.6

Children

A chef is retained to provide culinary services and is not a childcare provider through Chez, LLC.

The household remains responsible for supervising children and ensuring children do not create unsafe kitchen conditions.

The chef must not be left as the sole supervising adult for a child.

§ 6.7

Pets

The household is responsible for disclosing whether pets will be present and for controlling or securing pets when reasonably required for safety or sanitation.

The chef should not feed, handle, restrain, or assume responsibility for a household pet unless specifically authorized and reasonably necessary.

§ 6.8

Photography and Recording

A chef may not photograph, film, livestream, audio-record, or otherwise document a household, residence, guest, child, pet, property, meal, or service for personal, portfolio, publicity, or social-media purposes without specific permission.

Default permission is no. A general platform agreement does not function as blanket marketing consent.

§ 6.9

Social Media

A chef must not identify a household, tag a household location, disclose booking details, reveal private property, publish identifiable service content, or imply household endorsement without specific authorization.

Content permission may be withdrawn prospectively, subject to lawful limitations.

§ 6.10

Property Care

The chef must exercise reasonable care when using household appliances, cookware, furnishings, serving pieces, and other property.

The chef should immediately report breakage, malfunction, damage, loss, spill, injury, or unsafe conditions through the platform.

§ 6.11

Damage Reporting

The chef must not conceal or materially misrepresent property damage.

A report should include the time, location, known circumstances, affected property, immediate action taken, and photographs when appropriate and lawfully obtained.

Reporting an incident does not constitute an automatic admission of liability.

§ 7.1

Professional Conduct

Chefs must act honestly, respectfully, lawfully, and professionally in communications and services conducted through Chez, LLC.

Conduct that undermines household safety, chef safety, platform integrity, or trust may result in review or account action.

§ 7.2

Dress and Hygiene

Chefs must maintain personal hygiene and attire reasonably appropriate for in-home culinary service, food handling, and the agreed hospitality setting.

Any dress standards should focus on safety, cleanliness, professionalism, and reasonable household expectations without imposing unnecessary control over the chef's independent business.

§ 7.3

Harassment and Discrimination

Harassment, discrimination, threats, intimidation, retaliation, sexual misconduct, stalking, or abusive conduct are prohibited.

This applies to conduct involving households, chefs, Chez, LLC personnel, guests, assistants, vendors, and other platform participants.

Chez, LLC may investigate credible reports and take proportionate protective or account action.

§ 7.4

Alcohol

A chef must not consume alcohol while performing services or arrive impaired.

Any purchasing, handling, recommendation, service, or use of alcoholic beverages must comply with applicable law and the approved scope of service.

The final agreement must reflect whether chefs may purchase or serve alcohol in each market.

§ 7.5

Drugs and Impairment

A chef must not perform services while impaired by illegal drugs, alcohol, misused medication, or another substance that creates a safety risk.

Possession, use, sale, or distribution of illegal substances during a booking is prohibited.

§ 7.6

Weapons

A chef must not bring a weapon into a household in connection with a Chez, LLC service except to the extent a restriction would be unlawful under applicable law.

§ 7.7

Unsafe Conditions

A chef should not begin or continue a service when the chef reasonably believes conditions present an immediate or material risk to health, safety, or lawful performance.

Examples may include violence, threats, severe harassment, dangerous animals, unsafe appliances, exposed hazards, active criminal activity, extreme sanitation concerns, or undisclosed severe allergy conditions beyond the chef's ability to accommodate.

§ 7.8

Right to Leave

A chef may leave an unsafe environment when reasonably necessary to protect the chef or another person.

When feasible, the chef should move to safety, contact emergency services when appropriate, and report the circumstances to Chez, LLC as soon as reasonably possible.

Leaving an unsafe environment should not automatically be treated as booking abandonment.

§ 7.9

Emergencies

In an emergency, individuals should contact 911 or the appropriate local emergency service before relying on platform support.

Chez, LLC support is not an emergency-response service.

§ 8.1

Compensation

The booking record should disclose the chef compensation structure before the chef accepts the service.

The final agreement must specify whether chef pricing is established by the chef, Chez, LLC, the household, a published pricing model, or a combination of those methods.

§ 8.2

Payment Processing

Payments may be processed through an authorized third-party payment provider.

The chef may be required to maintain an eligible payout account, complete identity or tax verification, and comply with the provider's applicable terms.

Chez, LLC must not store complete payment-card numbers in its own database.

§ 8.3

Platform Fees

Any platform, administrative, payment-processing, service, membership, marketing, or other fee charged to the chef must be clearly disclosed before it becomes applicable.

The agreement should state the method of calculation, timing, refundability, and whether fees may vary by service type or market.

§ 8.4

Expenses

Reimbursable grocery, travel, parking, lodging, or incidental expenses must comply with the applicable booking and expense rules.

The chef may be required to submit estimates, obtain approval, preserve receipts, and explain material variances.

Expenses outside the approved scope may be denied, limited, or reviewed.

§ 8.5

Grocery Purchases

The booking should identify the approved grocery budget, permitted variance, premium ingredients, reimbursement method, receipt requirements, and treatment of nonrefundable or perishable purchases following cancellation.

§ 8.6

Tips

Where permitted, households may provide voluntary tips through the platform or another approved method.

Tips must not be represented as mandatory unless lawfully included as a clearly disclosed service charge.

The final payment design should distinguish tips from service charges and platform fees.

§ 8.7

Payout Timing

Payout timing may depend on service completion, expense review, payment settlement, fraud prevention, disputes, chargebacks, legal requirements, or payment-provider processing.

Estimated payout dates are not guarantees of bank availability.

§ 8.8

Payment Holds

Chez, LLC or the payment provider may temporarily hold or delay funds when reasonably necessary to investigate fraud, payment failure, disputes, safety incidents, improper charges, account compromise, or legal obligations.

Any hold process must comply with applicable law and the payment provider's terms.

§ 8.9

Taxes and Reporting

Chez, LLC or its payment provider may collect tax information, report payments, issue tax forms, or withhold amounts when legally required.

The chef remains responsible for seeking independent tax advice.

§ 8.10

Recordkeeping

The chef must maintain records reasonably necessary to support compensation, expenses, tax reporting, insurance, certifications, and booking-related claims.

Platform records may be retained according to Chez, LLC's record-retention and privacy policies.

§ 9.1

Chef Cancellation

A chef who cannot complete a confirmed booking must notify Chez, LLC as soon as reasonably possible and provide accurate information about the cancellation.

The final policy should distinguish emergencies, illness, severe weather, transportation failure, avoidable cancellation, repeated cancellation, and no-show behavior.

§ 9.2

Household Cancellation

Household cancellation rights and applicable chef compensation will be determined by the published Cancellation and Refund Policy and the booking-specific terms accepted by the parties.

§ 9.3

Nonrefundable Expenses

The chef may be entitled to reimbursement for approved, documented, nonrefundable expenses incurred before a cancellation, subject to the applicable cancellation and expense rules.

§ 9.4

Replacement Coverage

Chez, LLC may make reasonable efforts to locate alternate chef coverage when circumstances allow but does not guarantee that a replacement chef will be available.

§ 9.5

No-Show

A failure to appear without timely communication may result in investigation, cancellation consequences, loss of compensation, suspension, or other proportionate action, subject to emergency circumstances and human review.

§ 9.6

Force Majeure and Extraordinary Events

The final agreement should address severe weather, natural disaster, government action, utility failure, transportation interruption, public-health events, and other circumstances beyond reasonable control.

This section must be coordinated with the household cancellation policy.

§ 10.1

Reviews

Households may be invited to provide feedback regarding communication, punctuality, food quality, professionalism, cleanliness, hospitality, and other aspects of a service.

Reviews should reflect genuine experiences and must not contain unlawful, threatening, discriminatory, fraudulent, or privacy-invasive content.

§ 10.2

Chef Feedback

Chefs may provide private feedback to Chez, LLC about household accuracy, kitchen readiness, access, conduct, safety, pets, children, payment concerns, and willingness to return.

Chef feedback should not automatically be displayed publicly.

§ 10.3

Review Moderation

Chez, LLC may moderate, remove, restrict, or decline to publish content that violates platform rules, applicable law, privacy obligations, or review-integrity standards.

Chez, LLC should not promise to verify the truth of every review.

§ 10.4

Quality Review

Chez, LLC may review patterns involving repeated cancellation, serious complaints, food-safety concerns, low ratings, misleading information, property concerns, or other material service issues.

No account should be automatically suspended solely because of one low rating without appropriate review.

§ 10.5

Off-Platform Conduct

Conduct outside the platform may be considered when it creates a credible and material risk to household safety, chef safety, legal compliance, fraud prevention, or Chez, LLC's legitimate operations.

This provision should not be written so broadly that it purports to control unrelated lawful personal activity.

§ 11.1

Reporting Concerns

Chefs must promptly report serious safety concerns, injury, alleged foodborne illness, allergen exposure, harassment, threats, property damage, theft allegations, privacy violations, emergencies, or other material incidents connected to a booking.

§ 11.2

Cooperation

A chef may be required to provide truthful information and reasonably available records relevant to a legitimate safety, payment, insurance, or compliance investigation.

Cooperation does not require waiver of legal rights or disclosure of privileged communications.

§ 11.3

Evidence Preservation

Chez, LLC may preserve relevant booking records, messages, menus, ingredient information, receipts, photographs, agreement versions, access logs, and payment information when an incident, dispute, claim, or legal hold exists.

Records subject to an active legal hold or safety investigation must not be deleted through ordinary account-deletion processes.

§ 11.4

Interim Protective Measures

Chez, LLC may temporarily restrict bookings, communications, payouts, or account access when reasonably necessary to address credible safety, fraud, legal, or platform-integrity concerns.

Interim action is not necessarily a final determination of wrongdoing.

§ 11.5

No Retaliation

Retaliation against a person for making a good-faith safety report, participating in an investigation, requesting an accommodation, or exercising a protected legal right is prohibited.

This provision does not prevent Chez, LLC from addressing knowingly false reports or independent misconduct.

§ 11.6

Law Enforcement and Emergency Requests

Chez, LLC may preserve or disclose information when required by lawful process, necessary to respond to an emergency, or otherwise permitted by applicable law and the Privacy Policy.

§ 12.1

Account Review

Chez, LLC may review a chef account when there is a credible concern involving eligibility, expired documentation, fraud, safety, harassment, legal compliance, payment disputes, repeated service failures, or violation of platform rules.

§ 12.2

Temporary Pause

A temporary pause may prevent a chef from receiving or accepting new opportunities while allowing appropriate access to records, support, payouts, or pending matters.

§ 12.3

Suspension

Chez, LLC may suspend some or all platform access when reasonably necessary to protect users, investigate a concern, comply with law, or enforce material platform requirements.

§ 12.4

Removal From Platform

Chez, LLC may remove a chef from the platform for material or repeated violations, ineligibility, fraud, serious safety concerns, unlawful conduct, misuse of household information, failure to maintain required documentation, or another legitimate reason stated in the final agreement.

The final policy should identify when notice, explanation, response opportunity, or appeal is available.

§ 12.5

Immediate Action

Chez, LLC may take immediate protective action when delay could reasonably create a significant risk of harm, fraud, evidence loss, legal violation, or ongoing misuse of the platform.

§ 12.6

Chef-Initiated Account Closure

A chef may request account closure, subject to completion of confirmed bookings, payment reconciliation, record-retention requirements, active investigations, legal holds, and other lawful obligations.

§ 12.7

Continuing Obligations

Provisions involving confidentiality, privacy, intellectual property, payment obligations, disputes, investigations, record preservation, and other terms that by their nature should continue may survive account closure.

§ 13.1

Chez, LLC Materials

The Chez, LLC name, platform, software, visual identity, written materials, workflows, logos, trademarks, and other proprietary materials remain owned by Chez, LLC or its licensors.

A chef receives only the limited access necessary to use the platform in accordance with the agreement.

§ 13.2

Chef Content

The chef retains ownership of original chef-created content unless otherwise agreed.

The final agreement should define the limited license Chez, LLC needs to host, display, process, and use approved profile content, menus, photographs, biographies, and related materials for platform operations.

§ 13.3

Household Content and Privacy

A chef receives no ownership interest in household photographs, property images, personal information, communications, or booking records.

§ 13.4

Content Permissions

The chef must have the right to upload any photograph, menu, biography, recipe description, trademark, or other content submitted to Chez, LLC.

The chef must not upload content that infringes another person's intellectual-property or privacy rights.

§ 13.5

Feedback

Chez, LLC may use voluntary product feedback to improve the platform, but the final clause should not improperly transfer ownership of the chef's preexisting culinary methods, confidential business information, or original creative work.

§ 14.1

Framework

The final agreement may address intentional circumvention of disclosed platform fees in connection with a household relationship introduced through Chez, LLC.

Any restriction must be reasonable in duration, scope, geography, protected interest, and applicable law.

It must not prohibit lawful competition, unrelated outside work, or a chef's right to operate an independent culinary business.

§ 14.2

Household Choice

The final policy should balance Chez, LLC's legitimate interest in protecting platform-generated relationships with household and chef choice, applicable antitrust principles, worker-protection laws, and state restrictions on noncompetition and nonsolicitation terms.

§ 15.1

Informal Resolution

Before initiating formal proceedings, the parties may be required to provide written notice of a dispute and participate in a reasonable informal resolution process.

The process must not unlawfully delay emergency relief, regulatory complaints, protected claims, or claims approaching a limitations deadline.

§ 15.2

Governing Law

The final agreement may select Kentucky law, without regard to conflict-of-law principles, except where another jurisdiction's nonwaivable law applies.

This provision must be reviewed for every launch state.

§ 15.3

Arbitration

If Chez, LLC adopts binding arbitration, the final clause must be separately and prominently reviewed by counsel. It should address covered disputes, arbitration administrator, governing rules, hearing location or remote hearing, fees, small-claims rights, injunctive relief, class or representative-action provisions, mass arbitration, opt-out procedure, notice method, changes to arbitration terms, and nonwaivable statutory rights.

§ 15.4

Small Claims

The final dispute process may preserve either party's right to bring an eligible individual claim in small-claims court.

§ 15.5

Government Agencies

Nothing in the agreement should prohibit a chef from filing a charge, complaint, report, or claim with a government agency or participating in a government investigation.

§ 15.6

Emergency Relief

The final agreement may permit a party to seek temporary or emergency relief from a court when necessary to prevent immediate harm, misuse of confidential information, infringement, or destruction of evidence.

§ 17.1

Kentucky Addendum

This addendum addresses disclosures, licensing provisions, worker-classification analysis, payment provisions, cancellation rules, privacy rules, background-screening requirements, insurance minimums, and any dispute-resolution modifications applicable to services performed in the Commonwealth of Kentucky.

§ 17.2

Tennessee Addendum

This addendum addresses disclosures, licensing provisions, worker-classification analysis, payment provisions, cancellation rules, privacy rules, background-screening requirements, insurance minimums, and any dispute-resolution modifications applicable to services performed in the State of Tennessee.

§ 17.3

Future State Addenda

Additional state-specific addenda will be attached as Chez, LLC expands into new markets. Each addendum will be identified by state, version, effective date, and applicable users, and will address disclosures, licensing, classification, payment, cancellation, privacy, background screening, insurance, and dispute resolution as required by local law.

§ 18.0

Overview

Chez, LLC is committed to a fair, respectful, and safe platform for households, chefs, applicants, guests, and personnel. This Article establishes the Chef's obligations regarding nondiscrimination, harassment, retaliation, accommodation, accessibility, and cooperation with Chez, LLC's Fair Access and Community Commitment.

§ 18.1

Nondiscrimination Obligation

Chef will not, in connection with Chef's participation in the Chez, LLC platform, unlawfully discriminate against a household, guest, applicant, other participating chef, Chez, LLC personnel, vendor, or partner because of race, color, religion, creed, national origin, ancestry, sex, pregnancy, childbirth or related medical conditions, sexual orientation, gender identity or expression, age, disability, genetic information, military or veteran status, marital or familial status, or any other characteristic protected by applicable federal, state, or local law.

Legitimate service-related distinctions such as availability, geography, service type, culinary specialty, food-safety credentials, insurance, budget, and documented safety concerns, applied consistently and lawfully, do not by themselves constitute unlawful discrimination.

§ 18.2

Harassment and Retaliation

Chef will not engage in harassment, sexual harassment, intimidation, threats, slurs, degrading conduct, unwanted sexual conduct, stalking, or bullying in connection with Chef's participation in the Chez, LLC platform.

Chef will not retaliate against a household, guest, applicant, chef, employee, or other person for making a good-faith report, requesting an accommodation, reporting an accessibility concern, participating in an investigation, or exercising a right protected by applicable law.

§ 18.3

Cooperation with Accommodations

Chef will cooperate reasonably with accommodation requests made by households or guests where the requested modification is reasonable, does not create an undue hardship, and does not require Chef to perform services outside Chef's qualifications, licensing, or the agreed service scope.

Chef acknowledges that Chez, LLC may facilitate an interactive process between Chef and a household or guest to identify reasonable modifications, and that Chez, LLC may decline to fulfill preferences that appear to exclude a chef because of a protected characteristic rather than a legitimate service-related need.

§ 18.4

Religious and Cultural Considerations

Chef will act with reasonable respect for disclosed religious and cultural practices within the agreed service scope. Chef will not misrepresent expertise in a cuisine, tradition, dietary practice, or ritual requirement, and will not agree to prepare food that cannot be prepared safely or competently.

§ 18.5

Reporting and Review

Chef may report concerns regarding discrimination, harassment, retaliation, safety, or accessibility to Chez, LLC through the reporting channels published by Chez, LLC.

Chez, LLC uses human review for sensitive determinations. Chez, LLC does not issue automatic findings of discrimination based solely on keywords or a single unverified allegation. Chef will cooperate reasonably with Chez, LLC's review process, subject to Chef's legal rights.

§ 18.6

A credible violation of this Article may result in warning, booking cancellation, restriction of platform features, suspension, or removal from the Chez, LLC platform, in each case in a manner proportionate to the conduct and consistent with applicable law and the other terms of this Agreement.

§ 18.7

Independent Contractor Status

This Article does not create an employment relationship between Chef and Chez, LLC. Chef remains an independent contractor operating an independent culinary business, and Chez, LLC's Equal Opportunity Employer statement in its Careers materials applies to Chez, LLC employee positions and not, by itself, to Chef's participation on the Chez, LLC platform.

This Article addresses standards of professional conduct expected of participants in the Chez, LLC community and does not modify Chef's classification, tax status, or economic independence.

Governing Hierarchy

Where a reservation-specific agreement exists, that agreement controls. Otherwise the Chef Services Agreement, Household Service Agreement, Terms of Use, Cancellation & Refund Policy, Privacy Policy, Community Standards, and Trust & Safety apply in that order. If two documents appear inconsistent, the more specific agreement controls.

Acknowledgment and Acceptance

Acknowledgment and acceptance

Chefs are invited to acknowledge and accept the current version of this agreement as part of onboarding and at the beginning of each engagement term.
